Terms of Use

1. Definitions & Agreement
In these Terms:
"Ledger", "we", "us", "Next Gen Media", or "our" means Theo Rawls trading as Next Generation Media (NZBN 9429052725937), including any related services operated under the Ledger brand.
"You" or "your" means the individual or entity using Ledger.
"Organisation" means any workspace, business, or entity created or managed within Ledger.
"Services" means the Ledger platform, website, and any related features or functionality we provide.
"Terms" means these Terms of Use.
These Terms govern your use of the Services.
By accessing or using Ledger, you agree to these Terms. If you do not agree to these Terms, you must not use the Services and must exit the website and stop use of Ledger immediately.
In other words,
These are our rules... exciting, isn't it?! By using Ledger, you're agreeing to them. If you’re like us, you don’t always have time to read through the entire document. That’s why we’ve summarized the key points for you, and will update you in nearly all cases if any changes are made. You should also read our Privacy Policy page. These are here to protect both you and us; if you don’t agree to these terms, feel free to exit out of the nearest browser.
2. Eligibility
To use Ledger, you must:
- be at least 13 years old
- if you are under 16 years old, have permission from a parent or legal guardian
- have the legal capacity to enter into a binding agreement
- be authorised to act on behalf of any organisation you use with Ledger
If you are under 16, your parent or legal guardian is responsible for your use of Ledger.
If you do not meet these requirements, you must not use the Services.
In other words,
You must be at least 13 years old to use our service. Sorry to all you pre-teen book keepers, but rules are rules. By registering with your information, you are guaranteeing the services offered are solely for your use and not a third party – and that all of the information is accurate. Make sure to keep all of your account information updated!
3. What Ledger Is
Ledger is a software platform that helps you record, organise, and analyse financial data.
Ledger:
- does not provide legal, tax, or accounting advice
- does not file returns or act on your behalf unless explicitly stated
- relies on data you provide or connect
You remain fully responsible for your financial records and compliance.
In other words,
We're not your accountant, tax advisor, or financial guru. We just give you the tools to crunch numbers. What you do with them? That's your call, captain!
4. Accounts
You must:
- provide accurate information
- keep your login credentials secure
- be authorised to act for any organisation you connect
You are responsible for all activity under your account.
In other words,
Keep your password safe! Don't share it with your cat, your dog, or that sketchy guy at the coffee shop. If your account gets hacked because you used 'password123', well... that's on you.
5. Organisations & Data Ownership
- Each organisation is a separate workspace
- You control access and permissions
- You retain ownership of your data
You grant us a limited licence to store, process, and display your data solely to provide Ledger.
We do not claim ownership of your data.
In other words,
Your data is yours, not ours. We just store it securely and show it back to you. Each organisation is like a private club, and you're the bouncer deciding who gets in.
6. Billing, Suspension & Recovery
Ledger may charge based on:
- subscriptions
- usage (e.g. transactions, API calls, throughput)
- number of organisations
Unless stated otherwise:
- subscriptions are billed in advance
- usage is billed in arrears
- all fees are in NZD and exclude GST unless stated
If payment is overdue, we may:
- suspend or restrict access to Ledger
- limit functionality, including data export
- engage third-party debt collection services
You agree that reasonable costs of recovery, including collection agency fees and administrative costs, may be added to the outstanding balance where permitted by law.
Suspension or restriction of access does not waive your obligation to pay any outstanding amounts.
In other words,
Pay your bills on time, and we'll be best friends. Fall behind, and we might have to hit pause on your account. Ignore us long enough, and we might send a debt collector your way - and yep, you'll pay for that too.
7. Data Access & Export
You retain ownership of your data.
You may export your data at any time while your account is in good standing.
We may restrict access to your account, including data export, until all outstanding amounts are paid in full. Access will be restored once payment is received.
In other words,
Paid up? Export your data anytime. Owe us money? We might hold your data hostage until you settle up. Fair's fair!
8. Acceptable Use
You must not use Ledger to:
- break the law
- commit fraud or misrepresentation
- process data you are not authorised to use
- interfere with or disrupt the platform
We may suspend accounts that pose risk, abuse the platform, or breach these Terms.
In other words,
Don't use Ledger for anything illegal, fraudulent, or evil. Don't try to break our platform. Play nice, or we'll show you the door.
9. Availability & Uptime
Ledger is designed for high availability.
We target 99.9% uptime, excluding:
- scheduled maintenance
- emergency maintenance
- events outside our reasonable control
We do not guarantee uninterrupted or error-free service.
In other words,
We shoot for 99.9% uptime. But hey, servers crash, maintenance happens, and the internet has bad days. We can't promise perfection, but we're trying!
10. Security
We take reasonable technical and organisational measures to protect your data, including:
- access controls and authentication safeguards
- encryption in transit
- restricted internal access to customer data
- monitoring for abuse and unauthorised access
No system is completely secure. You are responsible for maintaining the security of your account credentials.
In other words,
We lock down your data with encryption, access controls, and monitoring. But no system is unhackable. So, be smart: strong passwords, no sharing, and please don't click suspicious links.
11. Integrations
Ledger may connect to third-party services.
We are not responsible for:
- third-party outages
- incorrect or delayed data from integrations
- changes to third-party APIs or services
In other words,
We love connecting to other tools! But if a third-party service breaks or changes, that's their problem, not ours. Don't shoot the messenger.
12. Beta Features
We may offer beta or early-access features.
Beta features:
- are optional and must be explicitly enabled
- may be incomplete, unstable, or change without notice
- may be modified or removed at any time
By enabling beta features, you accept the risks associated with early-stage functionality.
In other words,
Shiny new stuff! But beta means bugs, changes, and possible disappearances. Opt in if you're brave, but don't say we didn't warn you.
13. Termination
You may stop using Ledger at any time.
We may suspend or terminate access if:
- you breach these Terms
- payment is overdue
- there is risk of fraud, harm, or misuse
Upon termination:
- access may be revoked immediately
- data may be retained for a limited period
If your account is in good standing, you may export your data during the retention period.
If amounts are outstanding, access (including export) may remain restricted until payment is made.
In other words,
You can quit anytime. We can boot you if you break rules or skip payments. If we part ways nicely, you'll get time to export your data - unless you owe us, then we settle first.
14. Liability
To the maximum extent permitted by law:
- Ledger is provided without warranties
- we are not liable for indirect or consequential loss
- our total liability is limited to the fees paid in the previous 3 months
Nothing in these Terms limits rights you have under New Zealand law that cannot be excluded.
In other words,
Ledger comes “as is”. If we screw up big time, the most we owe you is what you paid in the last 3 months. Your rights under NZ law still apply, though.
15. Consumer Guarantees Act
If you are using Ledger for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply to the extent permitted by law.
In other words,
Business users: the Consumer Guarantees Act doesn't apply here (as much as the law allows). It's B2B time!
16. Changes to Terms
We may update these Terms from time to time.
If changes are material, we will provide reasonable notice (for example, via email or within the product).
If you do not agree to the updated Terms, you must stop using Ledger and the Services immediately.
Your continued use of Ledger after the effective date of updated Terms constitutes acceptance of those Terms.
In other words,
We might tweak these terms. Big changes? We'll tell you. Keep using Ledger? You're agreeing to the updates.
17. General
- New Zealand law applies
- Disputes will be handled in New Zealand
- These Terms form the entire agreement unless otherwise stated
- These Terms apply to all use of Ledger and the Services, including access via our website
In other words,
New Zealand law rules. Disputes? New Zealand courts. These terms cover everything.
18. Survival
Any provisions of these Terms which by their nature should survive termination will continue in effect after termination or expiry of your use of Ledger.
This includes (but is not limited to):
- payment obligations
- data access and export restrictions
- liability limitations
- acceptable use violations
- recovery and collection rights
In other words,
Even after you leave, some rules stick around - like owing us money or our liability limits.
19. Indemnity
You agree to indemnify and hold harmless Ledger, Next Gen Media, and any related parties from any claims, losses, damages, liabilities, and costs (including reasonable legal fees) arising from:
- your use of Ledger
- your breach of these Terms
- any data you provide, process, or submit through Ledger
- any misuse, fraud, or unlawful activity connected to your account
In other words,
If your Ledger antics get us sued, you cover the costs. So, don't be reckless!
20. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
In other words,
If one rule gets struck down, the rest stand. One bad apple doesn't spoil the bunch.
21. No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.
In other words,
We don't enforce something today? Doesn't mean we won't tomorrow. We can enforce anytime.
